Terms and Conditions

1. Acceptance of Terms

By accessing or using Queryly (the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you must not access or use the Service. We may update these terms from time to time, and your continued use of the Service constitutes acceptance of any modifications.

2. Service Description

Queryly is an AI-powered data analysis and document processing platform that provides:

• File conversion across formats including PDF, Word, Excel, PowerPoint, and images
• Document manipulation: combining, splitting, compressing, and watermarking
• AI-driven summarization, data analysis, and presentation generation
• REST API access for programmatic integration
• Batch processing and automation workflows

The Service is provided "as is" and may be modified, updated, or discontinued at any time without prior notice. We do not guarantee uninterrupted availability of the Service.

3. Account Registration

Certain features require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality of your password and account credentials
• Accept full responsibility for all activity that occurs under your account
• Notify us immediately at mireku.dev@gmail.com of any unauthorized use

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that provide false or misleading information.

If you access Queryly through our REST API, the following terms apply:

• API access requires an active Pro subscription and a valid API key
• You must authenticate every request with your unique API key
• You may not share, resell, or publicly expose your API key or credentials
• We reserve the right to throttle, rate-limit, or revoke API access for abuse or excessive usage
• You may not use the API to develop a competing product or service
• API requests are subject to fair use policies and daily rate limits as published in our documentation

6. Payments

All payments are processed securely through Paystack. By purchasing a subscription or Makes credits, you agree to the following:

• You authorize us to charge your selected payment method for all applicable fees
• Subscriptions automatically renew at the end of each billing cycle unless cancelled before renewal
• Refund requests are evaluated on a case-by-case basis and must be submitted within 14 days of purchase
• All prices are displayed in Ghana Cedis (GHS) unless otherwise stated
• Failed payments may result in temporary suspension of premium features
• We reserve the right to adjust pricing with reasonable advance notice

7. User Content

You retain full ownership of all files and data you upload to Queryly. Our commitments regarding your content:

• We do not access, read, or inspect your files except as necessary to process your requests
• We do not share, sell, or provide your files to any third parties
• Uploaded files are automatically and permanently deleted from our servers after processing
• We do not use your content for model training, marketing, or any purpose beyond delivering the Service
• You are solely responsible for the legality and appropriateness of content you upload

8. Acceptable Use

You agree not to use Queryly for any of the following prohibited activities:

• Processing files that contain malware, viruses, trojans, or other malicious code
• Uploading content that violates applicable local, national, or international laws or regulations
• Attempting to gain unauthorized access to our systems, networks, or infrastructure
• Reverse engineering, decompiling, or disassembling any part of the Service
• Using automated scripts, bots, or crawlers to circumvent rate limits or abuse Makes allocation
• Reselling, redistributing, or sublicensing Queryly services without explicit written authorization
• Uploading content that infringes on the intellectual property rights of third parties

Violation of these terms may result in immediate account suspension or termination without refund.

9. Intellectual Property

Queryly, including its original content, features, functionality, design, code, and documentation, is owned by Queryly and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or its associated software without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Queryly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total aggregate liability shall not exceed the amount you paid to Queryly in the twelve (12) months immediately preceding the claim
• We are not responsible for any loss of data, even if we have been advised of the possibility of such damages
• We do not warrant that the Service will be error-free, secure, or available at all times

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your specific requirements or that any output generated by the Service will be accurate, complete, or reliable.

12. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice, for conduct that we determine, in our sole discretion, to be:

• In violation of these Terms and Conditions
• Harmful to other users, Queryly, or third parties
• Abusive, fraudulent, or otherwise objectionable
• Required by applicable law or regulation

Upon termination, your right to use the Service ceases immediately. We may retain data as required by law or for legitimate business purposes.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When changes are material, we will notify users via email or through an in-app notification at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
